Insight: British American Tobacco

We assisted the lead banks on a USD 25 billion acquisition loan facility for British American Tobacco, to back the USD 49.4 billion acquisition of the 57.8% stake in U.S. peer Reynolds American Inc. which it did not already own. This was the largest deal in the European syndicated loan markets in 2017.

We assisted Liberty Global on its GBP 31.4 billion joint venture with Telefónica to merge Virgin Media and O2’s fixed, broadband and mobile businesses in the UK.

Insight: Covid-19 and the workplace of the future

At the outbreak of Covid-19, leading corporates and financial institutions turned to us to advise on the unprecedented employment aspects of the pandemic’s impact. Advising a global real estate fund in a joint venture with an investment manager for the acquisition, redevelopment and pre-leasing of 280 Bishopsgate in the City of London: a 250,000 sq ft office building.

FINANCE

A multi-jurisdictional acquisition

We acted for Bayer to support its USD 57 billion financing acquisition of U.S. agrochemical giant Monsanto. The deal was executed across our New York, Frankfurt and London offices.

CORPORATE

Creating the Middle East’s Largest Lender

We acted for NBAD on its merger with First Bank Gulf PJSC, which will create an institution worth approximately USD 175 billion on completion.

DISPUTES AND INVESTIGATIONS

South Stream Transport

Enforcing medical patents

We acted for Pfizer in its patent for the blockbuster Lycria against Actavis and a number of generic companies in Europe.

FINANCE

Leasing fifty airliners

We supported four syndicates of nine lenders on the lease financing of 50 Airbus A330s and A320s to Saudi Arabian Airlines.

CORPORATE

Electricity generation in Africa

We supported the Africa Finance Corporation and the Pan African Infrastructure Development Fund on the establishment of a joint venture to generate 1,575 megawatts of electricity.

DISPUTES AND INVESTIGATIONS

Advising Google

We’ve worked with Google on a number of projects including a survey of atypical workers. Work has involved offices in New York, London and Hong Kong, the Belfast Legal Services Centre and Peerpoint consultants.
